1. Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of the WapFlow platform, a SaaS WhatsApp virtual receptionist for small and medium service businesses, developed and operated by SYS INFORMATION TECHNOLOGY LTDA (Brazilian tax ID / CNPJ 49.780.808/0001-28), registered in Ribeirão Preto/SP, Brazil ("we", "our" or "WapFlow").

By creating an account, subscribing to a plan, or using WapFlow in any way, the Plan Holder confirms that they have read, understood and accepted these Terms and our Privacy Policy. If you do not agree with these Terms, you should not use the service.

2. Description of the Service

WapFlow provides an administration panel and an AI assistant that interacts with the Plan Holder's end clients via WhatsApp, enabling booking, confirmation, rescheduling and cancellation of appointments, among other features described in the product documentation.

The service depends on third-party integrations — namely Meta's WhatsApp Business API and natural language processing providers — whose availability is not fully within our control. Features may be added, changed or discontinued over time, with reasonable prior notice whenever the change is substantial.

3. Account and Eligibility

  • WapFlow is intended exclusively for businesses and professionals — it is not a service for individual end consumers.
  • The Plan Holder must provide true, complete and up-to-date information at registration and keep it so throughout the contractual relationship.
  • The Plan Holder is responsible for keeping access credentials confidential and for all activity carried out on their account, including that of any staff members they invite.
  • You must notify us immediately if you suspect unauthorized use of your account.
  • You must be at least 18 years old and have the legal capacity to bind the business you represent to these Terms.

4. Plans, Pricing and Payment

  • Access to WapFlow is granted through paid subscription plans, with prices and limits publicly described on the platform at the time of subscription.
  • Payments are processed by Stripe; we do not store payment card data on our servers.
  • Subscriptions renew automatically at the end of each billing period, unless cancelled beforehand by the Plan Holder.
  • Plan changes (upgrade/downgrade) take effect according to the policy in force at the time of the change, and may result in a prorated adjustment on the next invoice.
  • There is no refund for amounts already charged for periods already in progress, except where required by applicable law.
  • Non-payment may result in suspension or termination of access, as described in section 11.
  • Plan limits (AI messages, number of users, locations, etc.) are enforced automatically by the platform; usage above the contracted limit may result in automatic handoff to a human agent or the need to upgrade the plan.

5. Acceptable Use and WhatsApp Compliance

By using WapFlow to communicate with your clients via WhatsApp, the Plan Holder agrees to:

  • Obtain appropriate consent from your clients before initiating WhatsApp communications through the platform.
  • Comply with the WhatsApp Business Policy and other applicable Meta policies.
  • Immediately honor opt-out requests ("STOP") from your clients.
  • Not use the platform to send spam, unsolicited messages, or illegal, misleading, defamatory content, or content that infringes third-party rights.
  • Not use the platform for purposes other than booking and service management as described in section 2.
  • Not attempt to circumvent, overload, or compromise the security of WapFlow's infrastructure (including attempts to access other tenants' data).

Violation of these rules may result in immediate account suspension under section 11, without prejudice to any consequences imposed directly by Meta on the associated WhatsApp Business number.

6. Plan Holder Responsibilities

The Plan Holder is the party responsible ("data controller" or "processor", as applicable) for the personal data of their own end clients that they input or allow to be collected through the platform, and must ensure they have an appropriate legal basis (namely consent) for processing that data, under the GDPR and/or Brazil's LGPD, as applicable to their activity.

WapFlow acts as a technical service provider (data processor) with respect to end clients' data, processing it only as instructed by the Plan Holder and for the purposes described in the Privacy Policy.

7. Intellectual Property

WapFlow, including its code, design, brand, logo and other elements, is the exclusive property of SYS INFORMATION TECHNOLOGY LTDA or its respective licensors. These Terms do not grant the Plan Holder any ownership rights over the platform — only a limited, non-exclusive, non-transferable license to use it for as long as the subscription remains active.

Data entered by the Plan Holder (business information, services, bookings, client data) remains the Plan Holder's property. It may be exported or deleted upon request, as described on our Data Deletion page.

8. Service Availability

We strive to maintain high platform availability, but we do not guarantee the service will be free of interruptions, errors or occasional unavailability arising from maintenance, technical failures, or unavailability of third-party services (Meta, AI providers, hosting infrastructure). Scheduled maintenance will be communicated in advance whenever possible.

9. Limitation of Liability

To the maximum extent permitted by law, WapFlow shall not be liable for indirect, incidental, special, consequential damages or lost profits arising from the use or inability to use the platform, including loss of bookings, clients or revenue.

WapFlow's total liability to the Plan Holder, for any reason related to these Terms, is limited to the total amount paid by the Plan Holder in the 12 months immediately preceding the event giving rise to the claim. This limitation does not apply to damages caused by willful misconduct or gross negligence.

10. Disclaimer of Warranties

The service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of fitness for a particular purpose, non-infringement or uninterrupted operation. In particular, responses generated by the AI assistant may occasionally contain errors or inaccuracies — it is the Plan Holder's responsibility to reasonably oversee the assistant's operation within their business.

11. Suspension and Termination by WapFlow

We may suspend or terminate access to an account, with or without prior notice depending on severity, in the following cases:

  • Breach of these Terms, particularly the acceptable use rules described in section 5.
  • Failure to pay after a reasonable grace period.
  • Use that endangers the security, integrity or reputation of the platform or of other tenants.
  • Legal requirement or order from a competent authority.
  • Action by Meta on the WhatsApp Business number associated with the account, outside of our control.

12. Cancellation by the Plan Holder

The Plan Holder may cancel their subscription at any time through the administration panel. Access remains active until the end of the already-paid billing period, with no prorated refund, unless otherwise required by law. After cancellation, data is retained according to the periods described in our Privacy Policy, and may be deleted earlier upon request, as described on the Data Deletion page.

13. Privacy and Data Protection

The processing of personal data within WapFlow is governed by our Privacy Policy, which forms an integral part of these Terms.

14. Changes to These Terms

We may update these Terms periodically. Substantial changes will be communicated by email or via a notice in the administration panel, with reasonable advance notice before taking effect. Continued use of the platform after the changes take effect constitutes acceptance of the new Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federative Republic of Brazil. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the district ("comarca") of Ribeirão Preto/SP, Brazil (the district of the company's registered seat), with express waiver of any other venue, without prejudice to any mandatory consumer-protection provisions that may apply in the Plan Holder's country of residence.
